These Terms of Use govern access to and use of the AI EYE website, customer portals, cloud services, partner portals, applications, dashboards, APIs, support channels, and related digital services operated by Frog Innovations and its affiliates (collectively, “AI EYE”, “we”, “us”, or “our”). These Terms are designed for both business users and individual users.
By accessing or using the services, you agree to these Terms. If you are using the services on behalf of a company, reseller, channel partner, distributor, institution, or other organization, you represent that you have authority to bind that organization. If you do not agree, you should not use the services.
1. Scope of Services
These Terms apply to:
- Public website pages, product pages, contact forms, marketing pages, downloads, newsletters, and demo requests;
- Customer accounts, dashboards, mobile or web interfaces, cloud-hosted platforms, analytics services, and support portals;
- Partner, distributor, reseller, system integrator, installer, or channel access portals;
- Any other digital service, report, document, alert, API, integration, or user interface we provide online.
Certain products or commercial relationships may also be subject to separate agreements, such as subscription agreements, partner agreements, purchase orders, service level commitments, statements of work, NDAs, or data processing addendums. If there is a conflict, the signed agreement will prevail for that specific service or relationship.
2. User Types and Eligibility
The services may be used by:
- Individual users and consumers;
- Prospective customers and website visitors;
- Business customers and their authorized employees or contractors;
- partners, distributors, resellers, and integrators.
You must be legally capable of entering into a binding agreement. If an account is created for a business entity, the person registering or using the account confirms that they are authorized to do so.
If a service is intended only for business or enterprise use, we may restrict access to verified business users.
3. Accounts and Access Credentials
Some services require registration, login credentials, API keys, or administrator approval. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must:
- Provide accurate, current, and complete information;
- Keep passwords and access credentials secure;
- Promptly notify us of unauthorized use, suspected compromise, or security incidents;
- Ensure that all users under your organization’s account comply with these Terms.
We may suspend or limit access if necessary to maintain platform security, investigate misuse, prevent fraud, or comply with legal obligations.
4. Acceptable Use
You agree not to:
- Use the services for any unlawful, fraudulent, abusive, harmful, defamatory, or infringing purpose;
- upload, transmit, or store malicious code, unlawful content, or content that violates privacy, confidentiality, or intellectual property rights;
- attempt to gain unauthorized access to any system, account, network, or data;
- copy, scrape, reverse engineer, decompile, benchmark, or exploit non-public elements of the services except where such restriction is not permitted by law;
- interfere with or disrupt the integrity, performance, or availability of the services;
- misuse communication tools, alerts, notifications, or messaging features for spam, harassment, or unauthorized marketing;
- use the services in a way that could harm other users, our infrastructure, or our reputation.
5. Consumer and Business Use
Where services are made available to individual users, consumers, or non-enterprise users, those users must provide accurate information and use the services only for lawful and intended purposes.
Where services are made available to organizations, the customer or partner is responsible for user management, deployment decisions, internal approvals, and compliance with applicable workplace, surveillance, privacy, and operational laws.
6. Customer Data and User Content
As between the parties, customer data, account content, uploaded materials, configuration inputs, documents, contact records, logs, incident records, support tickets, and other user-provided content remain the property of the relevant customer, user, or lawful owner, subject to the rights necessary for us to provide the services.
You grant us and our authorized service providers the limited right to host, store, process, transmit, back up, secure, and otherwise use such data solely for providing, maintaining, improving, and supporting the services and for complying with legal obligations.
You are responsible for ensuring that you have the legal right, consent, authority, or permission to provide any data, including personal data, business information, contact information, or surveillance-related data submitted through the services.
7. Privacy and Personal Data
We may collect and process personal data from website visitors, leads, customers, consumers, portal users, support contacts, and partner representatives in accordance with our Privacy Policy and applicable law, including the Digital Personal Data Protection Act, 2023 where applicable. Where consent is required, the request for consent will be accompanied or preceded by an appropriate notice describing the personal data collected, the purposes of processing, and the rights available to the individual.
If you use AI EYE services to upload or process personal data of employees, visitors, residents, customers, contractors, or other persons, you are responsible for ensuring that you have the lawful basis and required notices or consents unless a separate written agreement states otherwise.
8. Partner and Restricted Access Areas
Access to partner portals, reseller resources, distributor tools, technical documentation, training materials, pricing information, deployment guides, and other restricted areas may be limited to approved users.
All non-public business, pricing, technical, operational, and commercial information made available through such areas is confidential. You must not disclose it to any unauthorized person or use it for any purpose other than the purpose for which access was granted.
9. Intellectual Property
The services, including software, source code, object code, models, dashboards, interfaces, workflows, reports, designs, text, graphics, logos, videos, documents, training material, and other content provided by AI EYE, are owned by or licensed to AI EYE, Frog Innovations, or their licensors and are protected under applicable intellectual property laws.
Except as expressly allowed under these Terms or a separate written agreement, you may not copy, reproduce, modify, distribute, create derivative works from, sublicense, sell, or publicly display any part of the services.
10. Marketing Communications
If you provide your contact details to request information, register interest, schedule a demo, create an account, or interact with us, we may send service-related or business communications relevant to your relationship with us. Where required by law or your preferences, marketing communications will be subject to consent and opt-out choices.
11. Third-Party Services
The services may include links to or integrations with third-party tools, payment providers, messaging services, mapping platforms, hosting providers, cloud infrastructure, or external applications. We are not responsible for third-party services except to the extent expressly stated in a signed agreement.
12. Service Availability and Changes
We may update, improve, modify, suspend, restrict, or discontinue any part of the services from time to time. We do not guarantee uninterrupted availability unless expressly set out in a signed service level agreement.
Beta, pilot, preview, trial, or evaluation features may be offered on an “as is” basis and may be changed or withdrawn at any time.
13. Disclaimers
Except where expressly stated in a signed agreement or required by law, the services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted operation.
Alerts, analytics, detections, reports, or automated outputs are decision-support tools and do not replace human oversight, site procedures, emergency response, or legal compliance obligations.
14. Limitation of Liability
To the maximum extent permitted by law, AI EYE, Frog Innovations, and their affiliates, directors, employees, representatives, partners, and licensors will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of revenue, profits, business, goodwill, or data, arising out of or related to the services.
Where the user is a consumer and mandatory law gives the user rights that cannot be excluded, nothing in these Terms will limit those non-excludable rights.
Except where a signed agreement provides otherwise, our aggregate liability for claims arising under these Terms will not exceed the amount paid by you for the relevant service in the twelve months preceding the claim, or INR 50,000 where no fee was paid.
15. Suspension and Termination
We may suspend, restrict, or terminate access if we reasonably believe that:
- These Terms have been violated;
- The services are being used unlawfully or in a way that creates risk;
- There is a security issue, suspected breach, or fraud concern;
- Fees remain unpaid where applicable;
- continued access may expose us, other users, or third parties to harm or liability.
Upon termination, access rights will cease except to the extent continued access or data export is required by law or a separate agreement.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to any valid dispute resolution clause in a separate signed agreement, courts located in Noida, Uttar Pradesh, India will have jurisdiction over disputes arising out of or relating to these Terms.
